Field Definitions
bullet Number:   The identification number assigned by the Secretary of State's office at the time of filing.

bullet Date Filed:   The date of formation of a California limited liability company, the date of registration of a limited partnership or a foreign (out-of-state or out-of-country) limited liability company which is doing business in California, or the date of conversion to a California limited liability company or a California limited partnership.

bullet Status:  

See "Status Definitions" below.

Note: The status of a foreign (out-of-state or out-of-country) limited liability company or limited partnership in California is applicable only to the foreign entity's registration in the State of California. Information regarding the status of a foreign entity must be obtained from the entity’s state or country of formation.

bullet Jurisdiction:   The state or country under which laws the business entity was organized.

bullet Executive Office Address:   The main office of the business.

bullet Agent for Service of Process:   An individual or a corporation that has been designated to receive the service of process (normally, a summons and complaint) if it is sued by another party.



Status Definitions

bullet Active:   California LP or LLC: Subject to any licensing requirements otherwise imposed by the laws of this state, the California limited partnership or limited liability company is authorized to exercise all of its powers, rights and privileges in the State of California.

  Foreign LP or LLC: Subject to any licensing requirements otherwise imposed by the laws of this state, the foreign limited partnership or limited liability company is qualified to transact intrastate business in the State of California.

bullet SOS Canceled:   The formation or registration of the limited partnership or limited liability company was canceled because the check for the filing fee was not honored by a bank because of insufficient funds.

bullet Dissolved:   The California limited partnership or limited liability company has voluntarily elected to wind up the business operations.

bullet Pending Cancel:   The California or foreign limited liability company has completed the winding up of the affairs and has submitted a Certificate of Cancellation without a valid Tax Clearance Certificate to the Secretary of State prior to September 29, 2006. The actual cancellation is pending the receipt of a tax clearance certificate from the Franchise Tax Board.

bullet Canceled:   California LP: The California limited partnership has completed the winding up of the affairs, has filed a Certificate of Cancellation and ceases to exist, or the partnership has merged out of existence in California.

  Foreign LP: The foreign limited partnership has voluntarily surrendered its rights to transact business in the State of California or the partnership has merged out of existence in California.

  California LLC: The California limited liability company has completed the winding up of the affairs, has filed a Certificate of Cancellation, has received tax clearance from Franchise Tax Board and ceases to exist, or the company has merged out of existence in California.

  Foreign LLC: The foreign limited liability company has voluntarily surrendered its rights to transact business in the State of California by filing the Certificate of Cancellation and has received tax clearance from the Franchise Tax Board or the company has merged out of existence in California.

bullet Merged-Out:   The limited partnership or limited liability company has merged out of existence in California into another business entity. The name of the surviving entity can be obtained by requesting a status report. Fees and instructions for requesting a status report are included on the Business Entities Records Order Form.

bullet Converted-Out:   California LP: The California limited partnership has converted to a California other business entity, a foreign limited partnership, or a foreign other business entity. The name of the new entity can be obtained by requesting a status report. Fees and instructions for requesting a status report are included on the Business Entities Records Order Form.

  Foreign LP: The foreign limited partnership has converted to a California limited partnership or other business entity. The name of the new entity can be obtained by requesting a status report. Fees and instructions for requesting a status report are included on the Business Entities Records Order Form.

  California LLC: The California limited liability company has converted to a California other business entity, a foreign limited liability company, or a foreign other business entity. The name of the new entity can be obtained by requesting a status report. Fees and instructions for requesting a status report are included on the Business Entities Records Order Form.

  Foreign LLC: The foreign limited liability company has converted to a California limited liability company or other business entity. The name of the new entity can be obtained by requesting a status report. Fees and instructions for requesting a status report are included on the Business Entities Records Order Form.
